Introduction
Welcome to Authesci!
These Terms of Service ("Terms") govern your access to and use of Authesci’s website, platform, applications, and related services (collectively, the “Services”). By accessing or using any part of our Services, you agree to be bound by these Terms and our [Privacy Policy]. If you do not agree with any part of these Terms, please refrain from using our Services.
Eligibility and Account Registration
Eligibility: You must be at least 18 years old and capable of forming a binding contract to use our Services.
Account Creation: To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated to maintain its accuracy and completeness at all times.
Account Security: You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Authesci is not liable for any loss or damage resulting from your failure to protect your account credentials.
Services Provided by Authesci
Authesci is a dynamic platform that connects clients—including businesses, laboratories, startups, and academic institutions—with thoroughly vetted freelance scientists (Authenteers). Our services span a wide range of research support, including but not limited to manuscript editing, data analysis, research design, medical writing, Lab-as-a-Service, and custom scientific consulting.
Authesci facilitates the "Post a Project" flow and allows Authenteers to create profiles, list expertise, and get discovered by clients.
Authesci accepts registrations from users globally, allowing us to support international clients and engage African scientists in the diaspora.
User Responsibilities
Compliance: You agree to use the Services in compliance with all applicable laws, regulations, and these Terms.
Accuracy of Information: You are responsible for the accuracy of all information you submit, including project descriptions (for clients) and profile details/credentials (for Authenteers).
Conduct: You agree to interact professionally and ethically with other users. Harassment, spamming, or any form of harmful conduct is prohibited.
Intellectual Property: You are responsible for ensuring that any content you upload or share does not infringe on the intellectual property rights of others.
Fees and Payments
Platform Fee: Authesci charges a 10% commission on the total project payment earned by the freelance scientist. This fee is transparently communicated and will be clearly displayed on relevant pages, including the signup page for scientists, pricing FAQs, and as a banner on the 'Become a Freelance Scientist' page.
Payment Process (MVP): Payments are currently processed manually. A clear notice is displayed on the 'Post a Project' and 'Checkout' pages, informing users that transactions are completed via email confirmation or bank transfer during this phase.
Taxes: Users are responsible for their own tax obligations arising from their activities on Authesci.
Intellectual Property Rights
Authesci Content: All content, trademarks, logos, and intellectual property on the Authesci platform are owned by Authesci or its licensors.
User Content: Users retain ownership of intellectual property in their project work or profile content. By using the Services, you grant Authesci a license to use such content to operate and promote the platform.
Limitation of Liability
To the maximum extent permitted by law, Authesci shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including, but not limited to, loss of profits, revenue, data, use, goodwill, or other intangible losses—arising from: (a) your access to or inability to access or use the Services; (b) any conduct or content of third parties on the Services; or (c) unauthorized access to, use of, or alteration of your transmissions or content.
Indemnification
You agree to indemnify, defend, and hold harmless Authesci, along with its affiliates, officers, agents, and employees, from and against any claims, demands, liabilities, damages, losses, or expenses—including reasonable attorneys' fees—arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these Terms; or (c) your infringement of any rights of a third party or violation of any applicable law.
Miscellaneous
Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Entire Agreement: These Terms constitute the entire agreement between you and Authesci regarding your use of the Services.
